This statement and position are intended to clarify our business relationship with trading partners regarding matters of bribery and corruption.

Huerto Basal México, S.A. de C.V. does not permit bribery or any other form of corrupt business conduct. Therefore, no person working directly or indirectly for Huerto Basal is authorized to offer or provide, in any way, advantages—whether financial or otherwise—to individuals or companies with the aim of influencing their behavior against honesty or integrity, or for the purpose of obtaining a commercial advantage. Likewise, no person may request, receive, or accept such an advantage.

This applies to all Huerto Basal employees and business partners, and to anyone with a direct or indirect relationship with the company, so we make the following clear:

• Illegality of bribery and corruption

  Bribery and corruption are illegal in our country and run counter to everything Huerto Basal stands for.

• Compliance with ethical standards

  Huerto Basal requires compliance with the highest ethical standards and the regulations applicable to its business.

• Integrity and transparency

  Huerto Basal values integrity and transparency, and therefore prohibits corrupt activities of any kind committed by its employees or by third parties acting for or on behalf of the company.

• Organizational values

  This anti-corruption principle fully reflects the values and ethical principles established in Huerto Basal's organizational philosophy.

• Consequences of violations

  Violations of this principle will have serious consequences (including criminal consequences); Huerto Basal employees and third parties acting for or on behalf of the company will be sanctioned if they fail to comply with this principle.

Leadership's intent is to ensure these policies are fully embedded in the organization and in business management, as a responsibility shared by everyone at the company.
